Notice of general meeting
Notice is hereby given that a general meeting of Mind (The National Association for Mental Health, company number 00424348) will be held on Wednesday 6 December at 5pm at Mind’s offices at 2 Redman Place, London E20 1JQ. The purpose of the meeting is to consider the following business:
Special resolution
That, with effect from the conclusion of the meeting, the articles of association presented to the meeting be adopted as the new articles of association of the company in substitution for, and to the exclusion of, the existing articles of association.
Notes
1. The resolution is being proposed as a special resolution. For a special resolution to be passed, at least three quarters of the votes cast must be in favour of the resolution.
2. It is proposed in the resolution to adopt new articles of association. This is in order to update the company’s current articles of association, which were last updated in 2011. The primary reasons for the proposed changes are to bring the terminology up to date; to introduce a higher quorum for members’ meetings; to remove redundant references to Mind Link; and to allow general meetings of the members to be held by electronic means or in a hybrid manner.
3. The articles of association to be presented to the meeting are available here, with tracked changes showing the proposed changes to the current articles.
4. A member of the company is entitled to appoint another person as their proxy to exercise all or any of their rights to attend and to speak and vote at a meeting of the company.
